FIAT COMPLETES PURCHASE OF CHRYSLER EQUITY FROM CANADA AND THE U.S. DEPARTMENT OF THE TREASURY

NEW YORK, NY, July 21, 2011 — Fiat SpA today announced the completion of its purchase of the 6% fully diluted ownership interest in Chrysler Group LLC held by the U.S. Department of the Treasury. The consideration for such interest was $500 million. The Treasury Department also assigned to Fiat its rights under the Equity Recapture Agreement entered into between the Treasury Department and the UAW Retiree Medical Benefits Trust, a voluntary employee benefits association (the “VEBA”). The consideration for such rights was $75 million, $15 million of which was paid to Canada in accordance with arrangements between the Treasury Department and Canada.

Brock Fiduciary Services, as the independent fiduciary for the Chrysler securities held by the VEBA, acted on behalf of the VEBA in negotiations that led to Chrysler’s repayment of $7.6 billion in loans owed to the U.S. and Canadian governments. That repayment allowed Fiat to exercise its option on an incremental 16% of Chrysler equity for $1.27 billion in cash, and was a condition to the transactions announced today. As an independent fiduciary, Brock acts for the VEBA in the valuation, management and disposition of its holdings of Chrysler equity and debt.
